Portrait Contract

This agreement is between Sara Reed, Photographer, and Client(s) listed above.

1. Deposit and Payment. Payment is due upon arrival of scheduled session. Client agrees to pay session fee in full at the time of arrival on the date of scheduled session. The Client shall make a non-refundable deposit to the Photographer to perform the services specified herein.

2. Rescheduling. In the event that the Client requests to reschedule a session, the retainer shall be applied to a rescheduled session if notice is given at least 7 days prior to the scheduled event. If the rescheduling request is due to a Client illness, less notice may be allowed. The Photographer or Client may request to reschedule the session due to weather; discussion about the possibility of rescheduling should begin 24 hours prior to the session with a final decision made no later than 1 hour prior to the session. Rescheduled sessions must occur within the same calendar year.

3. Late Arrivals. Any Client that is late arriving to a session will have the amount of time late deducted from the time allotted for the session. This may also result in a reduction of the number of edited images.

4. Cancellation. If the Client cancels a session without rescheduling or fails to show for a scheduled session, the retainer shall be forfeited.

5. Files. Sara Reed Studios will keep files from your session for 6 months. After this time, Sara Reed Studios will no longer be responsible for holding copies of you images, digital files or photographs.

6. Ordering. Sara Reed Studios retains the right of discretion in selecting the photographic materials released to the client. The Photographer shall make edited images available through an online gallery proofing website or through an in-person ordering session.

7. Schedule of Completion. Images shall be available to the Client approximately one to three weeks after the session. All downloaded must be fulfilled within 30 days of image gallery delivery. Sara Reed Studios shall not be held responsible for delivery delays.

8. Copyright and Reproductions. All photographic materials, including but not limited to unedited RAW files and edited JPGs, shall be the exclusive property of Sara Reed Studios. Sara Reed shall own the copyright in all images created and shall have the exclusive right to make reproductions for, including but not limited to, marketing materials, portfolio entries, sample products, editorial submissions and use, or for display within or on Sara Reed Studios website, studio, etc. If the Photographer desires to make other uses, the Photographer shall not do so without first obtaining the written permission of the Client. It is understood that any duplication or alteration of original images is strictly prohibited {Copyright Law Title 17, Appendix V. Additional Provisions of the Digital Millennium Copyright Act 2005, Section 102} without the written permission of the Photographer.

9. Clients Usage. The Client shall only use the prints and products, including digital files, in accordance with the permissions within this agreement. The Client’s prints are for personal use only and shall not be submitted to contests or reproduced for commercial use. The Client may not authorize any reproductions by parties other than the Photographer. If the Client purchases digital files, the Client must act in accordance with the digital file print release that accompanies them. Client may not edit images, add filters, or hire out another party to edit images.

10. Social Media. The Client may share blog post links and Facebook albums through use of the share functions and dissemination of direct links. Client shall not screen shot, add filters or edits, or capture the photographs in any other fashion.

11. Failure to Perform. If Sara Reed Studios is unable to perform this agreement due to illness, emergency, fire, casualty, strike, act of God or causes beyond the control of the Photographer, the Photographer and Client shall make every attempt to reschedule the session. If a reschedule is unable to be agreed upon, Photographer shall return the retainer to the client and shall have no further liability. Further, if the Photographer is unable to deliver photographic materials due to technological malfunctions, including but not limited to camera and processing, or otherwise lost or damaged without fault of the Photographer, liability shall be limited to return of all deposits made.

12. Indemnification. Sara Reed Studios shall be held harmless for any and all injury to the Client during the course of the photography session and the immediately surrounding events.
